These Terms of Service ("Terms") constitute a legally binding agreement between your commercial entity ("Business", "User", or "You") and CodeTag ("Platform", "We", "Our", or "Us"), governing access to and usage of the services, web applications, and software tools available at codetag.com.ng.
1. Commercial Platform Eligibility
CodeTag is an enterprise and business-only utility platform designed for barcode encoding, voucher generation, gift card workflows, and equipment asset tagging. By creating an account or checking the agreement box during registration, you warrant and represent that:
- You represent a legitimate business entity, corporate initiative, or registered enterprise.
- You possess the legal authority to bind that entity to these Terms.
- All registration details, company identifiers, and contact email addresses provided are authentic, accurate, and kept up to date.
2. Account Security, Verification & Credentials
Accounts remain in a pending verification status until the authorized email address is verified via the cryptographically generated activation link. You are solely responsible for safeguarding your login credentials.
- You must notify CodeTag immediately upon discovery or reasonable suspicion of unauthorized access to your account.
- You agree not to disclose your password or session access tokens to unauthorized third parties.
- CodeTag is not liable for losses arising from unauthorized actions taken under your authenticated credentials prior to timely notification.
3. Free-Trial Credits, Subscriptions & Quotas
CodeTag provides a limited number of complimentary barcode generation credits upon successful email verification to allow businesses to evaluate platform functionality.
- Allocation & Non-Transferability: Free trial credits are granted strictly once per verified business entity and are non-transferable, non-refundable, and cannot be redeemed for fiat currency.
- Quota Enforcement: Barcode and voucher generation requests are authorized strictly within available monthly subscription allowances and top-up balances. All deductions are permanently logged to an append-only transaction ledger.
- Over-Quota Operations: When your credit allowance is exhausted, further generations remain paused until your subscription tier is renewed or top-up credits are purchased.
4. Prohibited Conduct & Abuse Prevention
To ensure stability, fair access, and security for all participating businesses, you agree not to engage in any of the following prohibited activities:
- Creating multiple accounts through automated scripts, temporary disposable email services, or repeated registrations on the same device or network to harvest free trial credits.
- Reverse engineering, decompiling, disassembling, or attempting to derive the source code of our barcode generators, rendering modules, or verification endpoints.
- Using automated bots, crawlers, or rapid-fire request scripts to bypass rate limits, quota enforcement, or access control mechanisms.
- Encoding malicious payloads, cross-site scripting strings, harmful executables, or unlawful materials into generated barcodes or vouchers.
- Impersonating another registered enterprise, commercial brand, or administrative identity.
5. Device Telemetry & Administrative Review
CodeTag monitors connection signals, IP addresses, and device telemetry to prevent fraud and protect platform resources, in accordance with our Privacy Notice and the Nigeria Data Protection Act (NDPA).
Suspicious activity indicators (such as several accounts originating from a single device or unexpected network bursts) trigger internal administrative risk flags. We prioritize evidence-based review over arbitrary automated lockouts. Administrators reserve the right to warn, restrict, temporarily suspend, or block accounts, IP addresses, or device identifiers found to be engaging in deliberate abuse or policy violations.
6. Intellectual Property & User Content
CodeTag retains all rights, titles, and interests in and to the platform, including its software architecture, database schemas, visual designs, APIs, and proprietary documentation.
You retain full ownership of all business logos, asset labels, and data payloads uploaded or submitted to the platform. By uploading content, you grant CodeTag a non-exclusive, worldwide, royalty-free license to host, display, and process your content solely to deliver platform functionality.
7. Service Availability & Disclaimer of Warranties
CodeTag provides its services on an "as is" and "as available" basis. While we strive to ensure high availability, data accuracy, and reliable barcode generation, we do not guarantee uninterrupted, error-free, or continuously available operation. We reserve the right to perform routine system maintenance, security patches, and platform upgrades.
8. Limitation of Liability
To the maximum extent permitted by applicable law, CodeTag, its operators, officers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of business profits, data corruption, or operational downtime, arising from your use or inability to use the platform.
9. Governing Law & Dispute Resolution
These Terms shall be governed by, construed, and enforced in accordance with the substantive laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved primarily through good-faith commercial negotiation, failing which it shall be submitted to the competent courts of the Federal Republic of Nigeria.
10. Modifications to Terms
We reserve the right to revise or update these Terms periodically to reflect legislative changes, operational enhancements, or new service offerings. Material modifications will be posted with an updated effective date. Continued access to the platform following notice of revised terms constitutes binding acceptance of those changes.
